This Supplement forms part of the Ulys Terms of Service (the “Terms”) and applies to you if you reside outside the United States. Capitalized terms have the meanings given in the Terms. If this Supplement conflicts with the Terms, this Supplement controls for you. For purposes of this Supplement, your country of residence is determined by indicators including your app-store country and information you provide to us.
1. Availability. The Offerings are provided from the United States. We make no representation that the Offerings are appropriate or available for use in any particular location. The Offerings, and particular features, Digital Assets, protocols, or Third-Party Services, are not available in jurisdictions identified on the Restricted Jurisdictions List and may be modified, restricted, or withdrawn in any jurisdiction at any time. Nothing in the Terms or this Supplement is an offer or solicitation directed at any person in a jurisdiction where the Offerings are unavailable or where such an offer would be unlawful.
2. Your mandatory rights. You may benefit from laws of your country of residence that grant you rights that cannot be excluded, limited, or modified by contract, including consumer protection laws (your “Mandatory Rights“). Nothing in the Terms or this Supplement excludes, limits, or modifies your Mandatory Rights, and every limitation, exclusion, waiver, and disclaimer in the Terms applies only to the maximum extent permitted by the law of your country of residence. Any provision of the Terms that would be invalid or unenforceable as applied to you is instead limited or severed to the minimum extent necessary, without affecting its application to other users.
3. Governing law and forum. The Terms are governed by the laws of the State of Delaware, United States. If you are a consumer, you additionally benefit from any provisions of the law of your country of habitual residence that cannot be derogated from by agreement, and nothing in the Terms deprives you of any right to bring proceedings in the courts of your place of residence where the law of that jurisdiction so provides.
4. Dispute resolution and arbitration. The Ulys Arbitration Agreement applies to you only to the extent enforceable under the law of your country of residence. If you are a consumer in a jurisdiction whose law does not permit mandatory pre-dispute arbitration agreements, or class or collective action waivers, in consumer contracts, then to that extent the Arbitration Agreement and the class action waiver do not bind you, you and Ulys may agree to arbitration after a dispute arises, and you may bring proceedings as described in Section 3 of this Supplement. The remainder of the Terms is unaffected. Nothing in the Terms prevents you from raising a complaint with a consumer protection authority or, where available, an approved consumer dispute resolution body in your country.
5. Irreversible transactions. You have the rights described in Section 2 of this Supplement. However, blockchain transactions you authorize are executed immediately and irreversibly by third-party networks and protocols, and you acknowledge that, to the extent permitted by applicable law, any statutory right of withdrawal or cancellation does not apply to a transaction that has been executed on-chain at your request before the expiry of any withdrawal period.
6. European Union, European Economic Area, and United Kingdom. If you reside in the EU, the EEA, or the UK:
(a) Nothing in the Terms limits Ulys’s liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any matter for which liability cannot be excluded or restricted under applicable law, and the Terms’ disclaimers do not affect any statutory guarantees or remedies that apply to digital content or digital services under the law of your country.
(b) Certain features of the Offerings, including Ulys AI, are powered by artificial intelligence. The App will inform you when you are interacting with an AI system, and content generated by AI Features is machine-generated.
(c) Ulys is a company incorporated in the United States. It is not authorized or regulated by any EU or UK financial services regulator. Digital Assets are not covered by deposit guarantee or investor compensation schemes.
7. Canada. If you reside in Quebec, you may benefit from provisions of the Consumer Protection Act (Quebec) and the Civil Code of Quebec that apply notwithstanding any contrary provision of the Terms, including with respect to the arbitration of consumer claims, and Section 2 of this Supplement applies to those provisions.
8. Language. This Supplement and the Terms are drafted in English. Where the law of your country requires contract terms to be provided in another language and no translation has been provided, contact us before using the Offerings.
